1. This agreement
These terms are an agreement between Vetta Team LLC ("Vetta", "we") and the organization or person using the service ("you"). By creating an account, or by using Vetta on behalf of an organization, you accept them. If you are accepting on behalf of an organization, you confirm you may bind it.
If you have signed a separate written agreement with us, that agreement governs where it conflicts with these terms.
2. The service
Vetta provides a hosted application for running a company’s operating rhythm: quarterly goals, a weekly review, a scorecard, tasks and issues. We may add, change or withdraw features; where a change materially reduces the service during a paid term, you may cancel and receive a pro-rata refund of the unused portion.
3. Accounts
You must give accurate account information and keep your credentials secure. You are responsible for everything done under your account. Tell us promptly at nick@vetta.team if you believe it has been used without your permission. Accounts are for named people and may not be shared.
4. Acceptable use
You agree not to:
- break the law, or infringe anyone else's rights, using Vetta;
- upload malware, or content that is unlawful, harassing or deceptive;
- probe, scan or try to breach the service, or access another organisation's data;
- overload the service, or use automated means to scrape it beyond the documented API;
- resell or sublicense access without our written permission;
- reverse engineer the service except where the law expressly allows it.
We may suspend access without notice where we reasonably believe use threatens the security or stability of the service or breaks the law.
5. Your content
You keep all rights in the content you put into Vetta. You grant us only the licence we need to host, process, transmit and display it in order to run the service for you, and to make backups.
You are responsible for your content: for having the rights to it, and for its accuracy and legality. If your organisation administers your workspace, it may access, export and delete content in it, including yours.
While your subscription is active you can export your scorecard history, your weekly review recaps and any files you have uploaded. On termination we keep your workspace available for export for 90 days, after which it may be deleted.
Usage data. We collect data about how the service is used - such as which features are used, how often, activity counts and performance measures, but not the content of what you write. We use this data to operate, secure and improve Vetta. We may also use it in de-identified or aggregated form, for example to publish benchmarks, provided it does not identify you, your organization or any individual.
Data processing addendum. If you need a data processing addendum (DPA) for procurement or compliance purposes, contact us at nick@vetta.team and we will provide one.
6. Fees, trials and renewal
Paid plans are billed in advance on the cycle you choose. Fees are stated exclusive of tax, which we add where required. Payment is taken by our payment processor; by subscribing you authorise recurring charges to your chosen method.
Free trials run for the period stated at sign-up and convert to a paid subscription unless cancelled before the trial ends. Subscriptions renew automatically for successive terms unless cancelled before the renewal date. Cancelling stops the next renewal; it does not refund the current term, except where these terms or the law say otherwise.
If a payment fails we may retry it and, after notice, suspend or restrict the workspace until the balance is settled. We may change prices on 30 days’ notice, effective at your next renewal.
Founding plans. Founding plans are offered at the price and for the period stated when you join. That price is fixed for that period and is not affected by the price changes described above. When the period ends, your plan moves to our standard pricing at that time, and we will give you at least 30 days' notice before the first charge at the new price.
Free trials and beta features. Free trials, and any features we label as beta, preview or early access, are provided as they are, may change or be withdrawn at any time, and are not covered by any service level commitment.
7. Availability and support
We aim to keep Vetta available at all times but do not promise uninterrupted service unless a separate service level agreement says so. We may take the service down for maintenance, and will give reasonable notice of planned downtime where we can. Support is provided by email at support@vetta.team Monday to Friday, 8:30am to 5:00pm Eastern Time.
8. Confidentiality
Each of us may receive the other’s confidential information. Each will use it only to perform this agreement, protect it with at least reasonable care, and not disclose it except to people who need it and are under similar obligations, or where the law compels disclosure.
If we become aware of a security incident that affects your content or personal data, we will notify you without undue delay, tell you what we know about it, and keep you updated as we learn more.
9. Our intellectual property
Vetta, including its software, design and documentation, remains ours. These terms grant you a limited, non-exclusive, non-transferable right to use the service during your subscription, and nothing more. Feedback you send us may be used freely and without obligation.
10. Third-party services
Vetta relies on third parties for authentication, hosting, email delivery, payments and AI features, as described in our Privacy Policy. Where you connect Vetta to another product, your use of that product is governed by its own terms, and we are not responsible for it.
AI features run only when a user invokes them. Workspace admins can turn AI features off for the whole workspace in settings; turning them off does not affect any other part of Vetta.
11. Disclaimers
Except as these terms expressly state, the service is provided “as is” and we disclaim all other warranties to the extent the law allows, including merchantability, fitness for a particular purpose and non-infringement. Vetta helps you run your business; it does not provide legal, financial or professional advice, and output from its AI features should be reviewed before you rely on it.
12. Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special or consequential loss, or for lost profits, revenue or data, however caused. Our total liability arising out of this agreement is limited to the fees you paid us in the twelve months before the event giving rise to the claim.
Nothing here limits liability that cannot lawfully be limited, including for death or personal injury caused by negligence, or for fraud.
13. Indemnity
You will defend and indemnify us against claims arising from your content or from your use of the service in breach of these terms, and from any resulting damages and reasonable costs.
14. Termination
You may stop using Vetta and cancel at any time. Either of us may terminate for material breach that is not cured within 30 days of written notice. We may terminate immediately where required by law or where continued service would expose us or other customers to material risk. On termination your right to use the service ends and clauses that by their nature should survive will survive.
15. Changes to these terms
We may update these terms. We will post the new version here and update the date above, and give notice of material changes in the product or by email before they take effect. Continuing to use Vetta after that means you accept them.
16. General
These terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict of laws principles. The state courts located in Chester County, Pennsylvania, and the federal courts of the Eastern District of Pennsylvania have exclusive jurisdiction.
Each of us may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any class, collective or representative proceeding.
Neither of us is liable for delay or failure to perform caused by events beyond our reasonable control, such as natural disasters, war, terrorism, labor disputes, government action, or failures of internet, power or hosting providers. This does not excuse an obligation to pay fees already due.
If a provision is unenforceable, the rest stands. Neither of us may assign this agreement without the other's consent, except to a successor of its business. Our failure to enforce a right is not a waiver of it. These terms, with the Privacy Policy, are the whole agreement between us about the service.
